The mission of Verdentum ("Verdentum", "us", "we", "our") is to provide a unique non-profit social network, aimed at connecting schools, universities, and policy-makers to discuss and act upon pressing global issues. To achieve our mission, we make services available through our website at www.verdentum.org (the "Website") to help: (1) bridge rural-urban divides; (2) increase communication between developing and developed nations; (3) increase awareness concerning social, environmental, and policy issues and; (4) work towards solving global issues in creative ways.

Please read these Terms of Use carefully. You agree that by accessing the Website or by registering a user account with Verdentum, you are entering into a legally binding agreement with Verdentum based on the terms of these Terms of Use and the Privacy Statement, which is hereby incorporated by reference (collectively referred to as the "Agreement"). If you are using the Website on behalf of a school, company or organization, you are nonetheless individually bound by this Agreement even if your school, company or organization has a separate agreement with us.

If you do not agree with this Agreement, do not continue to use the Website or access, view, download or otherwise use any Verdentum webpage, content, information or services. By accessing the Website, you acknowledge that you have read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions.

Verdentum Do’s and Don’ts

You agree to undertake the following :

Review and comply with our Privacy Policy.

Respect other’s rights and comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, export control laws, tax laws, and regulatory requirements.

Provide accurate, current and complete information to us and update it as necessary.

Protect personal information such as email addresses, phone numbers, street addresses, or other information that is confidential in nature.

You agree not to undertake the following :

Harass, abuse or harm another person, including sending unwelcomed communications to others using the Website or the services provided by Verdentum.

Upload, post, email, transmit or otherwise make available or initiate any content that :

• is unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable;

• includes information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

• infringes or misappropriates upon patents, trademarks, copyrights, trade secrets, or other proprietary rights;

• includes any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or other form of solicitation; or

• contains software viruses, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment of Verdentum or any user of Verdentum.

Remove any copyright, trademark or other proprietary rights notices contained in or on the Website, including those of both Verdentum and any of its licensors.

Collect, use, copy, or transfer any information, including, but not limited to, personal information obtained from the Website or the services provided by Verdentum, except as expressly permitted in this Agreement or as the owner of such information may expressly permit.

Infringe or use Verdentum’s brand, logos or trademarks, including, but not limited to, using the word “Verdentum” in any business name, email, or URL or including Verdentum’s brands, logos, and trademarks, except as expressly permitted by Verdentum. (This Agreement does not grant you any right or license with respect to any such brands, logos, or trademarks. Verdentum reserves all of its intellectual property rights in the Website and the services provided through the Website.)

Use the Website for any purpose that is unlawful or prohibited by these terms, conditions, or notices.

Use the Website in any manner which could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of the Website.

Attempt to or override any security component included in or underlying the Website.

SERVICE REQUIREMENTS

Member Account, Password and Security

If you register for an account on the Website, you will receive/create a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You shall not permit third parties to access the Website through your username and password. You agree to (1) immediately notify Verdentum of any unauthorized use of your password or account or any other breach of security, and (2) ensure that you exit from your account at the end of each session. The Verdentum cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

Service Eligibility

To be eligible to use the services provided by Verdentum via the Website, you must meet the following criteria and represent and warrant that you: (1) are the “Minimum Age” (defined below) or older; (2) are not currently restricted from using the services provided by Verdentum; (3) will only provide accurate information to Verdentum; (4) have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party; (5) will not violate any rights of Verdentum or any third party, including intellectual property rights such as copyright or trademark rights; and (6) agree to provide at your cost all equipment, software, mobile access, and internet access necessary to use the services provided by Verdentum.[1]

"Minimum Age" means (1) 18 years old for the People’s Republic of China, (2) 16 years old for the Netherlands, (3) 14 years old for the United States, Canada, Germany, Spain, Australia and South Korea, and (4) 13 years old for all other countries. However, if applicable law requires that you must be older than such ages in order for Verdentum to lawfully provide the services to you (including the collection, storage and use of your information in accordance with our Privacy Policy) then the Minimum Age would be such older age. The services provided by Verdentum are not designed nor intended for use by children or anyone else under the age of 13.

WEBSITE CONTENT

User Content Posted on the Website

As between you and Verdentum, you own the information, data, materials, images and any other content you submit via the Website ("User Content"), and may request its deletion at any time, unless you have shared User Content with others and they have not deleted it, or it was copied or stored by other users. Additionally, you grant Verdentum a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenseable, fully paid up and royalty-free right to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use and commercialize, in any way now known or in the future discovered, any User Content you submit via the Website, without any further consent, notice and/or compensation to you or to any third parties.

By submitting User Content via the Website, you acknowledge and agree that: (1) your User Content does not contain confidential or proprietary information; (2) your User Content is not contrary to any obligations you may have under applicable data protection laws; (3) Verdentum is not under any obligation of confidentiality, express or implied, with respect to such User Content; (4) Verdentum shall be entitled to use or disclose (or choose not to use or disclose) such User Content for any purpose, in any way, in any media worldwide; (5) Verdentum may have something similar to the User Content already under consideration or in development; and (6) you are not entitled to any compensation or reimbursement of any kind from Verdentum under any circumstances.

Notice and Procedures for Making Claims of Copyright Infringement

Verdentum respects the intellectual property rights of third parties. Verdentum responds to notices of alleged copyright infringement according to the Digital Millennium Copyright Act ("DMCA") at 17 U.S.C. § 512 et seq. Whether or not Verdentum believes it is liable for any copyright infringement for which it is provided notice, Verdentum’s acknowledgment may include removing or disabling access to material claimed to be the subject of infringing activity and/or terminating an individual’s access to the Website, at Verdentum’s discretion and operating within the guidelines of the DMCA.

User-to-user communication

Verdentum offers forums in which you, or your school or organization (as applicable) can post your observations and comments on designated topics. Please note that ideas you post and information you share may be seen and used by other users and Verdentum cannot guarantee that other users will or will not use the ideas and information that you share on the Website, nor the manner of use. Therefore, if you have an idea or information that you would like to keep confidential or do not want others to use, or that is subject to third party rights that may be infringed by your sharing it, do not post it on the Website. Verdentum is not responsible for another’s misuse or misappropriation of any content or information that you post on the Website.

Content Generally

Verdentum does not control all of the materials posted via the Website and, as such, does not guarantee the accuracy, integrity or quality of such materials. You understand that by using the Website, you may be exposed to content that is offensive, indecent or objectionable. Under no circumstances will Verdentum be liable in any way for any content, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any materials posted, or otherwise transmitted via the Website.

You acknowledge that Verdentum does not pre-screen materials on the Website, but that Verdentum shall have the right (but not the obligation) in their sole discretion to refuse or move any content that is available via the Website. Without limiting the foregoing, Verdentum and its designees shall have the right to remove any content that violates this Agreement or is deemed by Verdentum, in its sole discretion, to be otherwise objectionable. General Practices Regarding Website Use, Storage and modification

You acknowledge that Verdentum may establish general practices and limits concerning use of the Website, including without limitation the maximum number of days that email messages, message board postings or other content will be retained by the Website, the maximum disk space that will be allotted on Verdentum's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Website in a given period of time. You agree that Verdentum has no responsibility or liability for the deletion or failure to store any messages and other communications or other content maintained or transmitted by the Website. You acknowledge that Verdentum reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that Verdentum reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Verdentum reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (or any part thereof) with or without notice. You agree that Verdentum shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website.

LICENSE RIGHTS

Subject to your compliance with this Agreement, Verdentum hereby grants to you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable license and right to access the Website and the services offered thereunder, through a generally available web browser, to view content and information and otherwise use the Website and the services thereunder, to the extent intended and permitted by the functionality thereof, in accordance with this Agreement. Any other use of the Website or the services thereunder contrary to our mission and purpose is strictly prohibited and a violation of this Agreement. We reserve all rights not expressly granted in this Agreement, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in the Website and Verdentum services and all related items, including any and all copies made of the Website or related content.

INDEMNITY

You agree to indemnify and hold harmless Verdentum and its affiliates, officers, partners, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post to or transmit through the Website, your use of the Website, any use of your account, your connection to the Website, your violation of this Agreement, or your violation of any rights of another.

DISCLAIMER

THE SITE IS PROVIDED “AS IS,” AND YOUR USE THEREOF IS AT YOUR OWN RISK. VERDENTUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND ASSIGNS, DISCLAIM, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, TITLE AND NON-INFRINGEMENT. VERDENTUM DOES NOT WARRANT THAT THE SITE WILL BE FREE FROM VIRUSES, AVAILABLE, ACCESSIBLE, ERROR-FREE, UNINTERRUPTED OR THAT THE CONTENTS WILL BE ACCURATE. ALTHOUGH VERDENTUM TAKES REASONABLE STEPS TO SECURE THE SITE, YOU ACKNOWLEDGE THAT THE INTERNET IS NOT A COMPLETELY SECURE MEDIUM AND VERDENTUM MAKES NO WARRANTIES, EXPRESS OR IMPLIED, THAT ANY INFORMATION OR MATERIALS YOU POST ON OR TRANSMIT THROUGH THE SITE WILL BE SAFE FROM UNAUTHORIZED ACCESS OR USE. Limitation of Liability

Neither Verdentum nor any of our employees or directors shall be cumulatively liable for any damages in excess of $100 U.S. or any special, incidental, indirect, punitive or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of the services provided to you by Verdentum, or any of the content or other materials on, accessed through or downloaded from the Website.

Termination

Verdentum may terminate this Agreement and your account for any reason or no reason, at any time, with or without notice. This termination shall be effective immediately or as may be specified in the notice. Verdentum may restrict, suspend or terminate the account of any user who abuses or misuses the services provided by Verdentum or otherwise violates this Agreement. The terms of this Agreement shall survive any termination, except the section entitled “Your Rights”.

GENERAL TERMS

Severability: If any provision of this Agreement is found by a court of competent jurisdiction or arbitrator to be illegal, void, or unenforceable, the illegal, void, or unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision; if a court or arbitrator finds the modified provision illegal, void or unenforceable, the remaining provisions of this Agreement will not be affected in any way.

Language: Where Verdentum has provided you with a translation of the English language version of this Agreement, the Privacy Policy, or any other documentation, you agree that the translation is provided for your convenience only and that the English language versions of this Agreement, the Privacy Policy, and any other documentation will govern your relationship with Verdentum.

Amendments: We reserve the right to modify, supplement, or replace the terms of this Agreement at any time, effective prospectively upon posting at www.verdentum.org or notifying you otherwise. If you do not want to agree to changes to this Agreement, you can terminate this Agreement at any time in accordance with the section on “Termination” set out above.

Jurisdiction / Governing Law / Choice of Forum: This Agreement and any dispute arising out of or related to this Agreement or use of Website shall be governed in all respects by and construed and enforced in accordance with the laws of theState of New York, U.S.A., without regard to its conflicts of law principles. Exclusive jurisdiction over any cause of action arising out of this Agreement or your use of the Website shall be in state or federal courts located in or near New York, New York, U.S.A. You further agree to submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

No Waiver: Verdentum’s failure to enforce or insist upon strict performance of any provision of these Terms & Conditions shall not constitute a waiver of the provision. Neither a course of dealing or conduct between you and Verdentum nor any trade practices shall be considered to modify this Agreement.
